1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and GOGUFI, S.L. ("Gufi", "we", "us", or "our"), a company registered in Spain, concerning your access to and use of the Gufi platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our services.

2. Description of Service

Gufi provides a modular, cloud-based business management platform ("Service") that includes, but is not limited to:

• Enterprise Resource Planning (ERP) modules
• Customer Relationship Management (CRM) capabilities
• Inventory and supply chain management
• Financial management tools
• Analytics and reporting features
• API access for integrations
• Custom module development capabilities

3. Account Registration

To use our services, you must:

• Be at least 18 years old and capable of entering into legally binding contracts
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Be responsible for maintaining the confidentiality of your account credentials
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Pricing

4.1 Subscription Plans

Gufi offers subscription-based pricing with custom rates based on your business operations. All subscriptions are billed monthly or annually, as selected during signup.

4.2 Payment Terms

• Payment is due upon receipt of invoice
• All fees are exclusive of taxes, which will be added where applicable
• We accept payment via credit card, SEPA direct debit, and wire transfer
• Late payments may result in service suspension after 15 days notice

4.3 Introductory Pricing

Promotional pricing, including our 90% discount for the first two months, is available to new customers only and subject to availability. Standard pricing applies after the promotional period.

4.4 Refunds and Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We offer a 30-day money-back guarantee for new customers.

5. Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malware, viruses, or harmful code
• Engage in fraudulent or deceptive practices
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the integrity of our services
• Use our services for illegal or unauthorized purposes
• Resell or redistribute our services without authorization

6. Intellectual Property Rights

6.1 Our Property

The Gufi platform, including all content, features, and functionality, is owned by GOGUFI, S.L. and is protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Data

You retain all rights to your data. By using our services, you grant us a limited license to use, store, and process your data solely for the purpose of providing our services to you.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding our services may be used by us without any obligation to you.

7. Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with GDPR and Spanish data protection laws.

8. Service Level Agreement (SLA)

We guarantee:

• 99.9% uptime availability (excluding scheduled maintenance)
• 24/7 priority support for critical issues
• Regular automated backups of your data
• Disaster recovery procedures
• 30-day onboarding support

Scheduled maintenance will be notified at least 48 hours in advance and performed during low-usage periods.

9. API Terms

If you use our API:

• You must comply with our API documentation and rate limits
• You may not use the API to compete with our services
• We may modify or discontinue API features with 30 days notice
• You are responsible for your API key security

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for loss of profits, data, or business opportunities
• These limitations apply regardless of the legal theory on which the claim is based

11. Indemnification

You agree to indemnify and hold harmless GOGUFI, S.L., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

12. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our services at least 30 days before they take effect. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

14. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately. You may request a data export within 30 days of termination.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and GOGUFI, S.L. regarding the use of our services.

19. Language

These Terms are written in English. If translated into other languages, the English version shall prevail in case of any discrepancies.
